Terms of Service

01 Definitions

In these Terms, the following definitions apply:

• "AgentKey," "we," "us," or "our" refers to AgentKey and its operators.
• "Service" refers to the AgentKey API routing and aggregation platform, including all related APIs, documentation, and tools.
• "User," "you," or "your" refers to any individual or entity accessing or using the Service.
• "Third-Party Provider" refers to any external API provider whose services are accessible through AgentKey, including but not limited to search, scraping, social media data, and financial data providers.
• "Third-Party Data" refers to any data, content, or information retrieved from Third-Party Providers through the Service.
• "Credits" refers to the prepaid units used to access the Service.

02 Acceptance of terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Continued use of the Service following notice of any changes constitutes your acceptance of the updated Terms.

03 Description of service

AgentKey provides a unified API routing and aggregation layer that enables users to access multiple Third-Party Provider APIs through a single credential. The Service acts solely as an intermediary routing layer. Specifically:

• AgentKey does not collect, store, process, or independently generate the data returned through Third-Party Provider APIs.
• AgentKey does not independently operate, control, or own any of the data sources accessible through the Service.
• AgentKey routes API requests to Third-Party Providers and returns responses. The content and nature of those responses are entirely determined by the Third-Party Providers.
• AgentKey does not guarantee the accuracy, completeness, legality, or continued availability of any Third-Party Data.

Informational data only — no financial or crypto services. The Service provides access to data and information only. AgentKey does not offer, facilitate, or intermediate the purchase, sale, exchange, custody, lending, staking, or transfer of cryptocurrencies, digital assets, securities, or other financial instruments, and is not a broker, dealer, exchange, money services business, wallet provider, or financial adviser. Any market, financial, or on-chain data made available through the Service is for informational purposes only and does not constitute investment, legal, tax, or financial advice.

04 Billing & subscription

Access to the Service is offered through a free plan and paid subscription plans (currently Lite, Pro, and Max). The plan names, prices, billing periods, and included monthly Credits shown on our pricing page and in the Console at the time of purchase form part of these Terms.

Free plan — no automatic charge. The free plan does not require a payment method and will never automatically convert into a paid subscription or generate a charge. Any complimentary Credits provided on signup are promotional, carry no cash value, and may expire or change at our discretion. You move to a paid plan only by actively choosing to subscribe.

Billing cycle and amounts. Paid plans are billed in advance on either a monthly or annual cycle, as you select at checkout. Monthly plans are charged each month; annual plans are charged as a single up-front payment covering the full year. The exact amount, currency, and billing period are shown and confirmed before you complete your purchase. Unless stated otherwise, all prices are exclusive of applicable taxes (such as VAT or sales tax); you are responsible for any such taxes, which may be added at checkout.

Automatic renewal. Paid subscriptions renew automatically at the end of each billing period — monthly plans renew monthly and annual plans renew annually — at the then-current price for your plan, until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method on a recurring basis for each renewal, and this authorization continues until you cancel.

Payment processing. Payments are processed by Stripe. You must provide a valid payment method and authorize recurring charges. We do not store full card details; they are handled by Stripe under its own terms. If a charge fails, we may retry the payment and may suspend, downgrade, or terminate your paid access until payment succeeds.

Price changes. We may change subscription prices or plan contents. Any change applies from your next renewal, and we will give you reasonable advance notice. If you do not agree to a change, you may cancel before it takes effect.

Cancellation. You may cancel a paid subscription at any time from the Console. Cancellation stops future renewals and takes effect at the end of your current paid period. You keep access and any remaining monthly Credits for that plan until the end of the period you have already paid for. We do not provide partial-period refunds for the unused portion of a billing period.

Credits. Each paid plan includes an allocation of monthly Credits for each billing period. Unless stated otherwise in the Console, monthly Credits are for use within their billing period and do not roll over. Extra Credits are optional one-time add-ons available to paid subscribers; they remain valid for the period described at the point of purchase, which is longer than monthly Credits. Credits have no cash value, are not transferable, and cannot be exchanged for money.

Refunds. Except where required by applicable law, subscription fees, renewal charges, and Credit purchases are non-refundable, and unused Credits are non-refundable. This does not limit any non-waivable rights you have under mandatory consumer-protection law in your jurisdiction (including any statutory cooling-off or withdrawal right, where applicable); where such rights apply, they are described at checkout.

Service delivery & access. AgentKey is a digital service delivered entirely online — there is no physical product and nothing is shipped. Access is provisioned immediately: your API key and Console are available as soon as you sign up, and paid features and monthly Credits become usable as soon as your subscription payment is confirmed. Because access and Credits are made available right away, provision of the Service begins immediately upon purchase.

05 Third-party providers

Provider independence. Third-Party Providers are independent entities with their own terms of service, privacy policies, and legal obligations. AgentKey is not responsible for and does not control the practices, operations, or data handling of any Third-Party Provider.

No warranty on provider compliance. AgentKey makes no representations or warranties regarding whether any Third-Party Provider's data collection practices, data sources, or API operations comply with applicable laws, regulations, or platform terms of service. Each Third-Party Provider is solely responsible for the legality and compliance of its own services.

Provider changes. Third-Party Providers may change their APIs, pricing, terms, or discontinue their services at any time without notice to AgentKey. We do not guarantee continuous availability of any specific Third-Party Provider through the Service.

06 Data compliance

User responsibility. You are solely and exclusively responsible for ensuring that your use of the Service and any Third-Party Data obtained through the Service complies with all applicable laws and regulations, including but not limited to:

• Data protection and privacy laws (including GDPR, CCPA, PIPL, and equivalents in your jurisdiction);
• The terms of service of any platform whose data is accessible through Third-Party Providers (including Twitter/X, Reddit, LinkedIn, Xiaohongshu, TikTok, and others);
• Intellectual property laws governing the use of retrieved content;
• Anti-scraping and computer access laws applicable in your jurisdiction;
• Any sector-specific regulations applicable to your use case (e.g., financial data regulations).

No legal advice. Nothing in these Terms or the Service constitutes legal advice. AgentKey expressly disclaims any representation that use of the Service or any Third-Party Data is lawful in any particular jurisdiction or context. You should obtain independent legal advice regarding the compliance of your intended use.

Personal data. If Third-Party Data retrieved through the Service contains personal data, you are the data controller for that data and are solely responsible for processing it in compliance with applicable data protection laws. AgentKey is not a data controller in respect of personal data obtained by you through Third-Party Providers.

Cross-border data. You acknowledge that data retrieved through the Service may originate from multiple jurisdictions. You are solely responsible for complying with all applicable cross-border data transfer restrictions and requirements.

07 Prohibited uses

You may not use the Service to:

• Collect, process, or compile personal data in violation of applicable privacy laws or without appropriate legal basis;
• Violate or circumvent the terms of service, robots.txt, or access controls of any third-party platform or website;
• Scrape, harvest, or extract personal identifiable information (PII) for unauthorized purposes;
• Build shadow profiles, databases, or surveillance systems targeting individuals without their consent;
• Engage in unauthorized automated access to platforms that prohibit such access;
• Facilitate spam, phishing, social engineering, or any deceptive practices;
• Infringe the intellectual property rights of any third party;
• Engage in market manipulation, financial fraud, or any activity that violates securities laws;
• Use the Service to buy, sell, exchange, custody, transfer, or otherwise trade cryptocurrencies, digital assets, or securities, or to provide regulated financial, money-transmission, or payment services;
• Access, use, or pay for the Service from, or on behalf of any person or entity located in or ordinarily resident in, any country or territory subject to comprehensive economic sanctions or trade embargoes, or if you are listed on, or owned or controlled by a party on, any applicable sanctions or denied/restricted-party list (including those maintained by the United Nations, the United States (OFAC), the European Union, the United Kingdom, or Singapore); you represent that you are not such a person and will not use the Service in violation of applicable sanctions or export-control laws;
• Access or attempt to access data sources in a manner that constitutes unauthorized computer access under applicable law;
• Resell or redistribute raw Third-Party Data in a manner that violates the originating provider's terms;
• Use the Service in any way that causes or may cause harm to any individual, entity, or the Service itself.

AgentKey reserves the right to suspend or terminate access for any use we determine, in our sole discretion, to be in violation of this section or the spirit of these Terms.

08 Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTKEY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement;
• Any warranty that the Service will be uninterrupted, error-free, or free of harmful components;
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of Third-Party Data;
• Any warranty that Third-Party Providers' services are lawful, accurate, or compliant with applicable regulations.

AgentKey does not warrant that any Third-Party Data retrieved through the Service is accurate, current, or fit for any particular purpose. You assume all risk associated with your use of Third-Party Data.

09 Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTKEY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, goodwill, or business opportunities;
• Any damages arising from your reliance on or use of Third-Party Data;
• Any damages arising from the acts, omissions, or compliance failures of any Third-Party Provider;
• Any regulatory fines, penalties, or enforcement actions arising from your use of the Service;
• Any claims by third parties arising from your use of Third-Party Data.

In jurisdictions that do not allow the exclusion of certain damages, AgentKey's total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to AgentKey in the three months preceding the claim.

10 Indemnification

You agree to indemnify, defend, and hold harmless AgentKey and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Service or any Third-Party Data;
• Your violation of these Terms;
• Your violation of any applicable law or regulation, including data protection, privacy, or intellectual property laws;
• Your violation of the terms of service of any Third-Party Provider or platform;
• Any claim by a third party relating to data you retrieved or processed through the Service.

11 Termination

AgentKey reserves the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or any applicable law.

Upon termination, your right to use the Service ceases immediately. Unused Credits are non-refundable unless otherwise required by applicable law. Sections 4 (Billing & Subscription, as to charges already incurred), 6 (Data Compliance), 8 (Disclaimer), 9 (Liability), and 10 (Indemnification) survive termination.

12 Governing law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration, except where prohibited by applicable law.

Nothing in these Terms limits your rights under mandatory consumer protection laws applicable in your jurisdiction.
